A&R PROGRAM AGREEMENT Beat submission, pitching and co-production terms.
Thomas Campbell trading as TC / TCmadethis, of Adelaide, South Australia, email TC prodby@tcmadethis.com
Submitter The person or entity identified in the submitted form
1. What this covers 1.1 A “Beat” is any beat, instrumental, demo, stems or related material the Submitter sends to TC under this Agreement. A “TC-Sourced Placement” occurs only when TC is the effective source of the opportunity and the Beat is used, sampled or adapted for a commercially released or commercially exploited recording as a direct result of TC sending, pitching or introducing it. 1.2 This Agreement is non-exclusive. The Submitter remains free to pitch, license and place the Beat independently or through anyone else. TC receives no credit, payment, royalties, publishing or other share from any placement that does not result from TC’s pitch or introduction. TC does not obtain rights merely because TC received or separately pitched the same Beat.
2. Permission to pitch the Beat 2.1 The Submitter gives TC a non-exclusive, worldwide permission to store the Beat, make private listening copies, and send, play and pitch it to artists, writers, managers, labels, publishers, A&Rs and their representatives for possible TC-Sourced Placements. 2.2 TC may discuss and negotiate a possible TC-Sourced Placement. A final commercial licence or producer deal still requires the Submitter’s written approval, which may be given by email. TC cannot sell the Beat or release it publicly under this Agreement.
3. The Beat must be clearable 3.1 The Submitter promises that they own or control the Beat and have authority from every co-owner and co-producer to submit it and agree to these terms. 3.2 The Beat must not contain: uncleared samples or interpolations; unauthorised third-party beats, melodies, vocals, stems or recordings; generative-AI output or synthetic voice/likeness material; stolen material; or anything subject to a conflicting exclusive deal. Any third-party loop or sample-pack content must be licensed for commercial use and disclosed to TC in writing before pitching. 3.3 The Submitter is responsible for direct third-party claims and reasonable losses caused by a breach of this clause, except to the extent caused by TC.
4. Placement notice and no bypass 4.1 TC will promptly tell the Submitter if TC learns that the Beat has been put on hold, selected, placed or released through a TC-Sourced Placement, and will pass on the available deal details. The Submitter must promptly tell TC if they learn first. The Submitter must also promptly tell TC if the Beat is independently placed or exclusively licensed so TC can stop pitching it; that notice does not give TC any share in the independent deal. 4.2 The Submitter will not bypass TC, remove TC from, or separately close an opportunity introduced by TC unless TC’s co-producer credit and full share under clause 5 are preserved in the final paperwork.
5. TC is a co-producer only on TC-Sourced Placements 5.1 For every TC-Sourced Placement, TC is a contractual co-producer and receives the same percentage in each category of Producer-Side Compensation. “Producer-Side Compensation” means all money and rights allocated to the producers for that TC-Sourced Placement, including: (a) producer advances and fees; (b) master royalties, producer points, master ownership or producer net receipts; and (c) the composition and publishing share allocated to the producers for their musical contribution (“Producer Publishing”). It excludes the artist’s, label’s, lyricist’s, topliner’s and other non-producer shares.
5.2 TC’s percentage is an equal share among all producers credited on the TC-Sourced Placement, including TC, but never less than 20%. For example: two producers means 50% each; three means 33.33% each; four means 25% each; and five or more means TC receives at least 20%. The remaining producer share is divided among the other producers. 5.3 TC receives Producer Publishing as a normal co-producer would. If TC contributes original music to the finished composition, TC must be named and registered as a composer for the agreed share. If TC is not legally registrable as an author, the Submitter must instead pay or assign to TC an equivalent contractual royalty from the Producer Publishing controlled or received by the Submitter. Nothing in this Agreement requires a false authorship claim. 5.4 TC must be credited as “Co-Producer: TC / TCmadethis” with prominence reasonably equal to the other producers wherever producer credits are supplied, including metadata, liner notes and promotional materials, subject to the platform’s usual display limits.
6. Paperwork and payment 6.1 The parties will promptly sign any customary split sheet, letter of direction or producer paperwork reasonably needed to record these terms and have TC paid directly by the artist, label, distributor, publisher or royalty society where possible. 6.2 If the Submitter receives money that includes TC’s share, the Submitter must pay TC that share within 7 business days after cleared receipt. Each party is responsible for their own tax.
7. Withdrawal and existing opportunities 7.1 The Submitter may withdraw an unpitched Beat at any time by emailing TC. Withdrawal does not affect a pitch, hold, negotiation or TC-Sourced Placement already made before TC receives the notice, and clauses 3–7 continue for those opportunities.
8. Simple legal terms 8.1 This Agreement is the entire agreement about the submitted Beats and may be changed only in writing agreed by both parties. If one part is unenforceable, the rest continues. Email is sufficient for notices and approvals. 8.2 South Australian law applies and the courts of South Australia have non-exclusive jurisdiction. “Co-producer” describes TC’s role, credit and economics only for a TC-Sourced Placement; it does not create a general partnership or allow either party to bind the other outside this Agreement.
ACCEPTANCE By submitting the form, the Submitter confirms that they have read and agree to the terms of this Agreement and intend to be legally bound by them.
